1.1. Catalyzed: the private limited company ELS Ecom, located at Boompjes 40, 3011 XB Rotterdam, registered with the Chamber of Commerce under number 92243770.
1.2. Client: any natural or legal person who enters into or wishes to enter into an agreement with Catalyzed.
1.3. Services: all products and services offered by Catalyzed, as described on the website and/or in an offer.
2.1. These general terms and conditions apply to all offers, agreements, and deliveries from Catalyzed, unless otherwise agreed in writing.
2.2. Deviations from these conditions are only valid if agreed upon in writing.
3.1. All quotations from Catalyzed are without obligation, unless stated otherwise in the quotation.
3.2. Quotations are valid for 30 days, unless stated otherwise.
3.3. Price quotations may be subject to changes due to (unforeseen) changes in the scope of work.
4.1. The agreement is concluded at the moment the client provides written (email suffices) acceptance of Catalyzed’s quotation.
4.2. Changes to the agreement are only valid if agreed upon in writing.
5.1. Catalyzed will execute the agreement to the best of its knowledge and ability.
5.2. The client is responsible for providing all data that Catalyzed indicates as necessary, in a timely manner.
5.3. Catalyzed may have work performed by third parties.
6.1. Delivery times stated by Catalyzed are indicative and are never strict deadlines.
6.2. Exceeding a term does not entitle the client to compensation or dissolution.
7.1. All stated prices are exclusive of VAT, unless otherwise specified.
7.2. Payment must be made within 14 days of the invoice date.
7.3. In the event of late payment, the client is legally in default and Catalyzed may charge the statutory (commercial) interest.
7.4. All reasonable costs, both judicial and extrajudicial, incurred by Catalyzed to obtain amounts due from the client, are at the expense of the client.
8.1. Complaints about work performed or invoices must be reported in writing within 14 days of discovery.
8.2. Submitting a complaint does not suspend the payment obligation.
9.1. Catalyzed is only liable for direct damages resulting from intent or gross negligence on the part of Catalyzed.
9.2. Liability is always limited to the amount paid out under Catalyzed’s liability insurance in the relevant case, plus the deductible.
9.3. If no payment is made under said insurance, liability is limited to the invoice amount of the relevant assignment.
10.1. All works delivered by Catalyzed (such as reports, advice, campaigns, visuals) remain the property of Catalyzed, unless otherwise agreed in writing.
10.2. The client only obtains the right to use these works for the agreed purpose.
11.1. Both parties are obliged to maintain confidentiality regarding all confidential information obtained from each other or from other sources within the context of their agreement.
12.1. Both parties may terminate the agreement in writing with due observance of a notice period of 1 month, unless otherwise agreed.
12.2. In the event of early termination, services delivered up to that point will be invoiced proportionally.
13.1. Catalyzed is not obliged to fulfill any obligation towards the client if it is prevented from doing so due to force majeure.
14.1. All agreements between Catalyzed and the client are governed exclusively by Dutch law.
14.2. Disputes will be submitted exclusively to the competent court in Rotterdam.
